This Mobile App End User License Agreement (“EULA”) is a legal agreement between you and OctoPath LLC d/b/a OctoWealth (“OctoWealth,” “we,” “us,” or “our”) governing your download, installation, access to, and use of the OctoWealth mobile application, including any updates, upgrades, bug fixes, documentation, related mobile services, and app-based features.

This EULA supplements OctoWealth’s Terms of Service, Privacy Policy, Plaid Financial Data Authorization and Consent Disclosure, Financial Data Use Disclosure, Data Retention and Deletion Policy, and Account Deletion and Plaid Disconnect Procedure.

By downloading, installing, accessing, or using the OctoWealth mobile app, you agree to this EULA. If you do not agree, do not download, install, access, or use the app.

If there is a conflict between this EULA and the Terms of Service, the Terms of Service controls unless this EULA expressly states otherwise for mobile app licensing matters.

Parties to This EULA

This EULA is between you and OctoPath LLC d/b/a OctoWealth, not Apple, Google, Plaid, Amazon Web Services, Stripe, Sentry, Atlassian, any financial institution, or any other third party.

If you downloaded the app from the Apple App Store, Apple is not a party to this EULA, but Apple and its subsidiaries are third-party beneficiaries of this EULA as described below.

If you downloaded the app from Google Play, Google is not a party to this EULA.

About OctoWealth

OctoWealth is a mobile personal finance app that helps users view, organize, and understand personal financial information.

Depending on available features, OctoWealth may allow users to:

  • connect supported U.S. financial accounts through Plaid;
  • view balances and transactions;
  • categorize transactions;
  • track budgets;
  • monitor cash flow;
  • identify bills and subscriptions;
  • track liabilities and debt strategies;
  • view investment accounts and holdings where enabled;
  • generate reports;
  • export data;
  • scan receipts where enabled;
  • use financial dashboards, simulations, alerts, and insights.

OctoWealth provides informational tools only. OctoWealth is not a bank, broker-dealer, investment adviser, tax adviser, legal adviser, accounting adviser, credit repair organization, lender, money transmitter, financial planner, or financial institution.

Eligibility

You may use the OctoWealth app only if you:

  • are at least 18 years old;
  • are located in the United States;
  • can enter into a legally binding agreement;
  • are not prohibited from using the app under applicable law;
  • comply with this EULA, the Terms of Service, and all applicable laws.

If you are under 18, outside the United States, or otherwise ineligible, you may not use OctoWealth.

License Grant

Subject to your compliance with this EULA and the Terms of Service, OctoWealth grants you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable license to download, install, access, and use one copy of the OctoWealth mobile app on a mobile device that you own or control, solely for your personal, non-commercial use.

This license is granted only for use of the app as permitted by this EULA, the Terms of Service, applicable app store rules, and applicable law.

No ownership rights are transferred to you. OctoWealth and its licensors retain all rights, title, and interest in and to the app, software, technology, design, content, features, data models, workflows, interfaces, branding, and related intellectual property.

License Restrictions

You may not:

  • copy, reproduce, distribute, publish, sell, lease, rent, sublicense, assign, transfer, or commercially exploit the app;
  • modify, adapt, translate, or create derivative works based on the app;
  • reverse engineer, decompile, disassemble, derive source code from, or attempt to discover underlying algorithms or trade secrets, except to the limited extent such restriction is prohibited by law;
  • remove, obscure, or alter proprietary notices, trademarks, copyright notices, or legal notices;
  • bypass, disable, interfere with, or defeat security, entitlement, subscription, access-control, or usage-limit features;
  • use the app to build, train, benchmark, or improve a competing product or service;
  • use automated tools, bots, scripts, crawlers, scrapers, or unauthorized integrations to access the app;
  • access the app’s APIs except through authorized app functionality;
  • attempt to gain unauthorized access to user accounts, Plaid tokens, financial data, backend systems, AWS infrastructure, databases, source code, credentials, secrets, or service providers;
  • introduce malware, malicious code, corrupted files, or harmful payloads;
  • use the app for unlawful, fraudulent, abusive, deceptive, or harmful activity;
  • use the app in violation of financial institution terms, Plaid terms, app store rules, or applicable law.

Mobile App Stores and Platform Rules

Your use of OctoWealth may also be subject to rules and terms from the platform where you downloaded or access the app, including Apple App Store terms, Google Play terms, operating system terms, device terms, and subscription or billing platform rules.

If this EULA conflicts with mandatory Apple App Store or Google Play rules, those platform rules may apply to the extent required.

You are responsible for complying with all applicable third-party platform terms.

Apple App Store Terms

If you downloaded OctoWealth from the Apple App Store or use OctoWealth on an Apple device, the following additional terms apply:

  • This EULA is between you and OctoWealth, not Apple.
  • Apple is not responsible for OctoWealth or its content.
  • Apple has no obligation to provide maintenance or support for OctoWealth.
  • OctoWealth, not Apple, is solely responsible for the app and its content, subject to this EULA.
  • If OctoWealth fails to conform to an applicable warranty, you may notify Apple, and Apple may refund the purchase price for the app, if any, as required by Apple’s policies. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to OctoWealth.
  • Apple is not responsible for addressing claims relating to OctoWealth or your possession or use of OctoWealth, including product liability claims, consumer protection claims, legal or regulatory claims, or intellectual property claims.
  • You must comply with applicable third-party terms when using OctoWealth.
  • You represent and warrant that you are not located in a country subject to a U.S. government embargo or designated by the U.S. government as a “terrorist supporting” country and that you are not listed on any U.S. government list of prohibited or restricted parties.
  • Apple and its subsidiaries are third-party beneficiaries of this EULA. Upon your acceptance of this EULA, Apple has the right to enforce this EULA against you as a third-party beneficiary.

Google Play Terms

If you downloaded OctoWealth from Google Play or use OctoWealth on an Android device, the following additional terms apply:

  • This EULA is between you and OctoWealth, not Google.
  • Google is not responsible for OctoWealth or its content.
  • Your use of OctoWealth may also be governed by Google Play terms, Android platform terms, Google billing rules, and Google refund rules.
  • If Google Play Billing is used, subscription purchases, cancellations, renewals, and refunds may be handled through Google Play.
  • You are responsible for managing subscriptions purchased through Google Play through your Google account or Google Play settings.

Financial Account Connections Through Plaid

OctoWealth may allow you to connect supported U.S. financial accounts through Plaid.

By connecting a financial account, you authorize OctoWealth and Plaid to access, receive, process, store, and refresh financial account information from the accounts you choose to connect, as described in the Plaid Financial Data Authorization and Consent Disclosure and Privacy Policy.

At launch, OctoWealth uses Plaid for read-only financial account aggregation. OctoWealth may use Plaid Transactions, Liabilities, Investments, and Identity where enabled and authorized.

At launch, OctoWealth does not use Plaid Auth, Transfer, Signal, Income, Assets, Statements, Processor Token, Employment, or Payroll.

OctoWealth does not use Plaid to move money, initiate ACH transfers, initiate payments, execute trades, open accounts, issue credit, make loans, make credit decisions, or take financial action on your behalf.

You may only connect accounts that you own or are legally authorized to access.

No Money Movement

OctoWealth is a read-only personal finance visibility and organization tool at launch.

Unless OctoWealth expressly introduces and separately discloses a money movement, payment, trading, lending, banking, or transaction feature, OctoWealth does not:

  • initiate payments;
  • move money;
  • transfer funds;
  • withdraw funds;
  • deposit funds;
  • execute trades;
  • open bank accounts;
  • issue cards;
  • issue credit;
  • make loans;
  • make credit decisions;
  • settle debts;
  • negotiate debts;
  • repair credit;
  • guarantee financial outcomes.

You remain responsible for monitoring your financial accounts directly with your financial institutions.

No Professional Advice

OctoWealth provides informational and educational tools only.

OctoWealth does not provide:

  • legal advice;
  • tax advice;
  • accounting advice;
  • investment advice;
  • credit repair advice;
  • lending advice;
  • debt settlement advice;
  • banking advice;
  • professional financial planning advice;
  • fiduciary advice.

Any budgets, reports, projections, alerts, transaction categories, debt strategies, investment views, financial simulations, net worth calculations, recurring bill detections, subscription detections, cash-flow views, market reference data, currency reference data, crypto reference data, or other outputs are informational only.

You are solely responsible for your financial decisions.

You should consult qualified professionals before making financial, investment, tax, credit, debt, legal, accounting, insurance, retirement, real estate, or other significant financial decisions.

Accuracy of App Data

OctoWealth depends on data from you, Plaid, financial institutions, market data providers, currency data providers, app stores, payment providers, service providers, and other sources.

Data may be delayed, incomplete, unavailable, inaccurate, duplicated, or miscategorized.

OctoWealth does not guarantee that:

  • balances are current;
  • transactions are complete;
  • transaction categories are accurate;
  • bills or subscriptions are detected correctly;
  • investment data is current;
  • liability data is complete;
  • debt payoff calculations are correct;
  • simulations or forecasts are accurate;
  • reports or exports are complete;
  • alerts are timely;
  • market, currency, or crypto data is accurate.

You should verify important information directly with the applicable financial institution, broker, lender, card issuer, tax adviser, accountant, attorney, financial adviser, or other qualified professional.

User Data and Content

You may enter, upload, import, export, edit, categorize, tag, label, or otherwise provide data through the app.

You retain ownership of your data and content.

You grant OctoWealth a limited, non-exclusive, worldwide, royalty-free license to host, process, store, display, modify, transmit, analyze, and create operational outputs from your data solely as reasonably necessary to provide, operate, secure, support, improve, and maintain OctoWealth, comply with law, enforce agreements, and process your requests.

You represent that you have the right to provide any data you submit to OctoWealth and that your use of the app does not violate applicable law or another person’s rights.

Privacy and Data Handling

OctoWealth’s data practices are described in the Privacy Policy and related disclosures.

OctoWealth does not sell your personal information or financial data.

OctoWealth does not use financial data for advertising.

OctoWealth does not use third-party advertising SDKs at launch.

OctoWealth does not send your personal financial data to third-party large language model providers at launch.

OctoWealth stores Plaid access tokens only on backend systems and does not send Plaid access tokens to the mobile app. Plaid access tokens are stored in encrypted form using AWS Key Management Service or comparable encryption controls.

Account Deletion and Financial Institution Disconnect

You may request deletion of your OctoWealth account through the app where available or by contacting:

support@octowealthapp.com

When account deletion is executed, OctoWealth takes reasonable steps to close or delete your account, revoke connected Plaid items where applicable, remove Plaid access tokens from active use, stop future syncing, and delete or de-identify active account data associated with your account, subject to legal, security, fraud-prevention, billing, backup, support, and operational retention exceptions.

You may disconnect financial institutions where the feature is available. If a per-institution disconnect feature is not available, you may contact support for assistance.

Deleting the app from your device does not delete your OctoWealth account.

Deleting your OctoWealth account may not automatically cancel your subscription.

Subscriptions, Trials, Billing, and Refunds

OctoWealth may offer paid subscription features, including OctoWealth Premium, free trials, monthly plans, annual plans, promotional offers, or other paid features.

Depending on the billing channel available at launch, subscriptions may be processed through Apple App Store, Google Play, Stripe, or another payment provider.

Unless otherwise stated at checkout:

  • subscriptions may automatically renew;
  • free trials may convert to paid subscriptions unless cancelled before the trial ends;
  • you are responsible for cancelling before renewal if you do not want the subscription to renew;
  • deleting the app does not cancel your subscription;
  • deleting your OctoWealth account may not cancel your subscription;
  • refunds are handled according to the rules of the applicable app store, payment processor, or billing platform;
  • OctoWealth may not be able to issue refunds directly for purchases made through Apple, Google, Stripe, or another payment provider;
  • access to paid features may end if your subscription expires, is cancelled, is refunded, fails billing, is revoked, or is otherwise invalid.

We may change subscription prices, plans, features, trial terms, or billing terms where permitted by law and platform rules. If required, we or the applicable billing platform will provide notice or obtain consent before changes apply.

Before publishing this EULA, OctoWealth should update this section to match the actual launch billing channel. If paid digital app features are sold through the iOS app, Apple’s in-app purchase rules may require Apple In-App Purchase. If paid digital app features are sold through the Android app, Google Play Billing rules may apply.

Updates and Changes to the App

OctoWealth may provide updates, upgrades, patches, bug fixes, new features, or modified features.

Some updates may be required to continue using the app.

OctoWealth may add, change, limit, suspend, or remove features at any time. OctoWealth may also stop supporting certain devices, operating systems, regions, integrations, Plaid connections, financial institutions, or app versions.

We are not obligated to provide any particular feature indefinitely.

App Availability

OctoWealth may be unavailable, delayed, interrupted, degraded, or limited due to:

  • maintenance;
  • bugs;
  • outages;
  • cyberattacks;
  • AWS outages;
  • Plaid outages;
  • financial institution outages;
  • app store outages;
  • payment provider outages;
  • network failures;
  • device incompatibility;
  • operating system changes;
  • regulatory or legal requirements;
  • service provider changes;
  • events outside our reasonable control.

OctoWealth does not guarantee continuous availability or error-free operation.

Open Source Software

The app may include or depend on open source software.

Open source software is licensed under its applicable open source license terms. To the extent required by those licenses, the open source license terms apply to the relevant open source components instead of this EULA.

Feedback

If you provide suggestions, ideas, comments, bug reports, feature requests, or other feedback about OctoWealth, you grant OctoWealth a perpetual, irrevocable, worldwide, royalty-free, fully paid, transferable, sublicensable license to use, copy, modify, distribute, display, perform, create derivative works from, and otherwise exploit that feedback for any purpose without compensation to you.

Termination of License

This EULA is effective until terminated.

Your license to use the app automatically terminates if you violate this EULA, violate the Terms of Service, become ineligible, or if OctoWealth terminates or suspends your account.

OctoWealth may suspend or terminate your access to the app if we believe:

  • you violated this EULA or the Terms of Service;
  • your use creates legal, security, fraud, financial, compliance, or operational risk;
  • your account is compromised;
  • your subscription is invalid;
  • you misuse the app;
  • you connect financial accounts without authorization;
  • we are required to do so by law, platform rules, vendor requirements, service provider requirements, or court order;
  • continuing to provide the app is no longer commercially or operationally reasonable.

Upon termination, you must stop using the app and delete any copies of the app in your possession where applicable.

Termination does not limit any other rights or remedies available to OctoWealth.

Disclaimer of Warranties

The app is provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, OctoWealth disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, security, and uninterrupted operation.

OctoWealth does not warrant that:

  • the app will meet your needs;
  • the app will be uninterrupted, secure, accurate, complete, or error-free;
  • financial data will be accurate, current, complete, or available;
  • Plaid connections will always work;
  • financial institutions will support or continue supporting connectivity;
  • insights, forecasts, budgets, reports, simulations, or categorizations will be accurate;
  • app store subscriptions will function without interruption;
  • payment providers will operate without interruption;
  • AWS, Plaid, Apple, Google, Stripe, Sentry, Atlassian, financial institutions, market data providers, or other service providers will operate without issue;
  • using OctoWealth will improve your finances, reduce debt, increase savings, improve credit, improve investment performance, or produce any particular financial result.

Some jurisdictions do not allow certain disclaimers, so some disclaimers may not apply to you.

Limitation of Liability

To the maximum extent permitted by law, OctoWealth and its owners, members, managers, directors, officers, employees, contractors, agents, affiliates, service providers, licensors, and partners will not be liable for any indirect, incidental, special, consequential, exemplary, enhanced, punitive, or similar damages, including lost profits, lost revenue, lost savings, lost data, business interruption, loss of goodwill, financial loss, investment loss, credit impact, account fees, overdraft fees, late fees, tax consequences, or cost of substitute services, even if advised of the possibility of such damages.

To the maximum extent permitted by law, OctoWealth’s total liability for any claim arising out of or relating to this EULA or the app will not exceed the greater of:

  • the amount you paid to OctoWealth for the service during the 12 months before the event giving rise to the claim; or
  • $100.

The limitations above apply to all claims, whether based on warranty, contract, statute, tort, negligence, strict liability, or any other legal theory.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless OctoWealth and its owners, members, managers, directors, officers, employees, contractors, agents, affiliates, service providers, licensors, and partners from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  • your use of the app;
  • your violation of this EULA;
  • your violation of the Terms of Service;
  • your violation of applicable law;
  • your unauthorized access to or use of financial accounts;
  • your data or content;
  • your fraud, misconduct, negligence, or misuse of the app;
  • your financial decisions made using or relying on the app;
  • your violation of another person’s rights.

We reserve the right to control the defense of any matter subject to indemnification, and you agree to cooperate with our defense.

Export Control and Sanctions

You may not use, download, export, re-export, or transfer the app except as authorized by U.S. law and the laws of the jurisdiction where the app was obtained.

You represent and warrant that:

  • you are not located in a country subject to a U.S. government embargo or designated by the U.S. government as a “terrorist supporting” country;
  • you are not listed on any U.S. government list of prohibited or restricted parties;
  • you will not use the app in violation of U.S. export control or sanctions laws.

U.S. Government Users

The app and related documentation are “commercial items” or “commercial computer software” to the maximum extent permitted under applicable U.S. government procurement rules.

Any use, reproduction, release, modification, disclosure, or transfer by the U.S. government is restricted in accordance with this EULA and applicable law.

Dispute Resolution

Disputes relating to this EULA, the app, your account, your subscription, or your use of OctoWealth are governed by the dispute resolution provisions in OctoWealth’s Terms of Service, including informal dispute resolution, binding individual arbitration, class action waiver, exceptions for small claims and injunctive relief, and arbitration opt-out rights where applicable.

If the Terms of Service do not apply for any reason, the dispute resolution provisions below apply.

You and OctoWealth agree that any dispute, claim, or controversy arising out of or relating to this EULA or the app will be resolved by binding individual arbitration, rather than in court, except for individual small claims court claims and requests for injunctive or equitable relief to protect intellectual property, security, systems, accounts, data, or confidential information.

The arbitration will be administered by the American Arbitration Association under its applicable Consumer Arbitration Rules, unless another arbitration provider or procedure is required by law or agreed by the parties.

You and OctoWealth waive the right to a jury trial and waive the right to participate in class actions, collective actions, consolidated actions, private attorney general actions, or representative proceedings to the maximum extent permitted by law.

You may opt out of arbitration by sending written notice to support@octowealthapp.com within 30 days after you first accept this EULA. Your notice must include your name, the email address associated with your OctoWealth account, and a clear statement that you opt out of arbitration.

Governing Law

This EULA is governed by the laws of the Commonwealth of Virginia, United States, without regard to conflict-of-law principles, except to the extent federal law or another state’s mandatory consumer protection law applies.

If any dispute proceeds in court instead of arbitration, you and OctoWealth consent to the exclusive jurisdiction and venue of the state and federal courts located in Virginia, unless applicable law requires otherwise.

Changes to This EULA

OctoWealth may update this EULA from time to time.

If we make material changes, we may provide notice by email, in-app notice, app update notice, posting an updated EULA, or another reasonable method.

The updated EULA will become effective when posted or as otherwise stated in the notice.

Your continued use of the app after the updated EULA becomes effective means you accept the updated EULA.

If we make changes that require renewed consent, we may ask you to review and accept the updated EULA before continuing to use certain features.

If you do not agree to the updated EULA, you must stop using the app and may delete your account.

Assignment

You may not assign or transfer this EULA, your account, or your rights or obligations under this EULA without our prior written consent.

OctoWealth may assign or transfer this EULA, in whole or in part, in connection with a merger, acquisition, financing, reorganization, sale of assets, corporate transaction, change of control, or by operation of law.

Severability

If any provision of this EULA is found invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

No Waiver

Our failure to enforce any provision of this EULA is not a waiver of our right to enforce that provision or any other provision later.

Entire Agreement

This EULA, together with the Terms of Service, Privacy Policy, and any additional terms or disclosures that apply to specific features, constitutes the entire agreement between you and OctoWealth regarding your license to and use of the mobile app.
